Terms and Conditions

1. Introduction

Welcome to DeepParts.sa (“Deep Parts,” “we,” “us,” or “our”), a business-to-business platform that connects business customers with products offered by wholesalers, suppliers, and other commercial partners.

These Terms and Conditions (“Terms”) govern your access to and use of the Deep Parts website, mobile applications, and related services (collectively, the “Platform”).

By registering an account, accessing the Platform, or placing an order, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms.

If you do not agree with these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms:

  1. “Customer,” “Buyer,” or “User” means the individual, company, or other legal entity accessing the Platform or purchasing products through it.

  2. “Platform” means the DeepParts.sa website, mobile applications, and any related digital services operated by Deep Parts.

  3. “Products” means the goods, parts, materials, or other items made available for purchase through the Platform.

  4. “Supplier” means a wholesaler, manufacturer, distributor, or other commercial partner that supplies products made available through the Platform.

  5. “Account” means the registered business account through which a User accesses and uses the Platform.

  6. “Order” means a request submitted by a Customer to purchase one or more Products through the Platform.

  7. “Account Balance” means funds or credits available in a Customer’s Deep Parts account, subject to these Terms and any applicable payment conditions.

3. Eligibility and Business Use

The Platform is intended primarily for business-to-business transactions.

To register an Account or place an Order, you must:

  • have the legal capacity and authority to enter into binding commercial transactions;
  • provide accurate, complete, and current registration information;
  • use the Platform only for lawful business purposes;
  • possess any licenses, permits, or approvals required for your business activities; and
  • comply with all applicable laws and regulations in the Kingdom of Saudi Arabia.

Deep Parts may request business registration documents, tax information, identification documents, authorization letters, or other information required to verify your identity, company, or authority.

4. Account Registration and Security

You are responsible for maintaining the confidentiality and security of your Account credentials, including your username, password, verification codes, and registered email address and mobile number.

You are fully responsible for all activities performed through your Account, whether such activities are carried out by you, your employees, representatives, or any person who gains access using your credentials.

You must notify Deep Parts immediately if:

  • you suspect unauthorized access to your Account;
  • your login credentials have been lost, stolen, or disclosed;
  • your registered contact information is no longer secure; or
  • you become aware of any unauthorized transaction.

Deep Parts may suspend, restrict, or terminate an Account if it reasonably suspects fraud, unauthorized access, misuse, breach of these Terms, or unlawful activity.

5. Access to the Platform

We aim to keep the Platform available and operating properly. However, access may occasionally be interrupted or restricted due to:

  • scheduled or emergency maintenance;
  • system updates or technical faults;
  • internet or telecommunications failures;
  • cybersecurity incidents;
  • events beyond our reasonable control; or
  • legal or regulatory requirements.

Deep Parts does not guarantee that the Platform will always be available, uninterrupted, secure, or free from errors.

We may correct errors and technical malfunctions according to their urgency, impact, and the resources reasonably available to us.

6. Acceptable Use

You agree not to:

  • use the Platform for any illegal, fraudulent, misleading, or unauthorized purpose;
  • attempt to gain unauthorized access to the Platform, another Account, or any related system;
  • exploit a vulnerability, software error, pricing error, or technical malfunction;
  • interfere with the operation, security, or performance of the Platform;
  • introduce viruses, malicious code, automated scripts, or harmful technologies;
  • collect or use Platform data without authorization;
  • copy, reproduce, modify, distribute, or commercially exploit Platform content without written permission;
  • impersonate another person, company, or entity;
  • provide false or misleading information; or
  • threaten, abuse, harass, or use physical or verbal violence against our employees, delivery personnel, Suppliers, Customers, or service providers.

Deep Parts may restrict or terminate access to the Platform and take appropriate legal action in response to any prohibited activity.

Where permitted by law, a User may be held responsible for losses, damages, costs, and expenses resulting from their misuse of the Platform.

7. Platform Content

Deep Parts may update, modify, remove, or replace Platform content at any time.

Although we make reasonable efforts to keep information accurate and current, Product descriptions, prices, images, specifications, compatibility information, stock levels, and other content may contain errors or become outdated.

Some Product information is based on catalogs, specifications, technical drawings, images, or other materials provided by Suppliers or manufacturers. Actual Products may differ slightly from the images or descriptions shown, provided that such differences do not materially affect the Product’s essential characteristics.

Customers are responsible for verifying that a Product is suitable for their intended business use before placing an Order.

8. Intellectual Property

The Platform and its content—including its design, layout, software, databases, text, graphics, logos, icons, images, and other materials—are owned by or licensed to Deep Parts and are protected by applicable intellectual property laws.

You may use the Platform only for your internal and lawful business purposes.

Without prior written permission from Deep Parts, you may not:

  • copy, reproduce, republish, or distribute Platform content;
  • modify, translate, reverse-engineer, or create derivative works from the Platform;
  • use Deep Parts trademarks, logos, or branding;
  • scrape, extract, or commercially exploit Platform data; or
  • remove copyright, trademark, or proprietary notices.

Third-party trademarks displayed on the Platform remain the property of their respective owners.

9. Third-Party Links and Services

The Platform may contain links to third-party websites, applications, payment providers, logistics providers, or other services.

These links are provided for convenience and do not necessarily mean that Deep Parts endorses or controls the relevant third party.

Deep Parts is not responsible for the availability, content, security, privacy practices, or services of third-party platforms. Your use of third-party services may be subject to separate terms and conditions.

10. Cookies and Data Protection

The Platform may use cookies and similar technologies to operate its services, remember preferences, analyze usage, improve performance, and provide relevant content.

The collection and processing of personal data are governed by our Privacy Policy and Cookie Policy, as applicable.

You are responsible for taking reasonable steps to protect your devices, systems, Account information, and personal data, including using appropriate security software and access controls.

11. Orders and Purchase Terms

When placing an Order, you confirm that:

  • you are legally authorized to make the purchase;
  • all Order information is accurate and complete;
  • the Products are being purchased for lawful business purposes;
  • you have sufficient funds or an approved payment method; and
  • you agree to pay all applicable Product prices, taxes, delivery fees, processing fees, and other charges displayed before checkout.

Submitting an Order does not automatically mean that Deep Parts has accepted it.

An Order is accepted only after Deep Parts sends an explicit Order confirmation or otherwise confirms that the Order has been approved for processing.

An automated notification acknowledging receipt of an Order does not constitute final acceptance.

Certain Products or services may be subject to additional terms, which will be presented separately where applicable.

12. Order Acceptance and Cancellation by Deep Parts

Deep Parts may reject, limit, suspend, or cancel an Order where reasonably necessary, including in the following circumstances:

  • the Product is unavailable or out of stock;
  • Product information or pricing is inaccurate;
  • the requested quantity exceeds available or permitted limits;
  • payment is unsuccessful, incomplete, or cannot be verified;
  • fraud, misuse, or unauthorized activity is suspected;
  • the Customer’s Account information cannot be verified;
  • delivery cannot be completed to the specified address;
  • the Order violates applicable laws or these Terms; or
  • an event beyond our reasonable control prevents fulfillment.

Deep Parts may request additional information or documentation before accepting an Order.

If an Order is canceled after payment has been received, the relevant amount will be refunded or credited in accordance with Section 18 of these Terms.

13. Product Availability

All Products are subject to availability.

Deep Parts makes reasonable efforts to maintain accurate stock information, but availability is not guaranteed until the Order is accepted and processed.

If a Product becomes unavailable, Deep Parts may offer the Customer the option to:

  • cancel the unavailable Product;
  • select a suitable alternative;
  • replace it with another model, specification, size, or Product; or
  • wait for the Product to become available, where applicable.

If an alternative Product costs more than the original Product, the Customer must pay the difference. If it costs less, the difference will be refunded or credited to the Customer’s Account.

Deep Parts may impose reasonable quantity limits per Customer, Account, Order, payment method, billing address, or delivery address.

14. Product Prices

The applicable Product price is the price displayed on the Platform when the Order is submitted, subject to confirmation and correction of obvious errors.

Prices may change at any time before an Order is accepted. Changes will not normally affect an Order that has already been accepted, except where:

  • there is an obvious pricing or technical error;
  • taxes or government charges change;
  • the Customer modifies the Order; or
  • the Customer agrees to a Product replacement or other adjustment.

Prices may be displayed as inclusive or exclusive of VAT. The applicable VAT amount and any other charges will be shown on the invoice or during checkout, as required.

Delivery, collection, processing, or other service fees may apply in addition to the Product price. These charges will be displayed before the Order is confirmed whenever reasonably possible.

15. Pricing and Product Information Errors

Deep Parts makes reasonable efforts to ensure that prices and Product information are accurate. However, errors may occur.

If a Product is listed with an incorrect price, description, specification, or availability status, Deep Parts may:

  • contact the Customer to confirm whether they wish to proceed using the corrected information;
  • reject or cancel the affected Order; or
  • offer an alternative Product.

Deep Parts is not required to fulfill an Order at an obviously incorrect price.

If payment has already been received for an Order that is canceled due to an error, the relevant amount will be refunded or credited in accordance with these Terms.

16. Payment Methods

Customers may pay using the payment methods made available on the Platform, which may include:

16.1 Bank Transfer

Customers may pay by transferring the required amount to a bank account designated by Deep Parts.

An Order may remain pending until the payment has been received and verified. The Customer is responsible for entering the correct payment reference and providing proof of payment when requested.

16.2 Account Top-Up

Customers may add funds to their Deep Parts Account in advance. Top-up funds may be used for future purchases, subject to verification, applicable limits, and these Terms.

16.3 Account Balance

Customers may use their available Account Balance to pay for eligible Orders. If the Account Balance is insufficient, the Customer must use another available payment method to pay the remaining amount.

16.4 Other Payment Methods

Deep Parts may introduce, restrict, or discontinue payment methods from time to time. The payment methods available for a specific Order will be displayed during checkout.

Customers are responsible for any bank, payment-provider, currency-conversion, or transaction fees charged by third parties unless otherwise stated.

Deep Parts may verify and process payment before dispatching an Order.

17. Account Balance and Credits

Any balance or credit displayed in a Customer’s Account is subject to verification.

Deep Parts may correct an Account Balance if it results from:

  • a technical or administrative error;
  • a duplicated transaction;
  • an unauthorized or reversed payment;
  • a canceled or refunded Order; or
  • fraudulent or abusive activity.

Promotional credits, if offered, may be subject to additional conditions, expiration dates, usage restrictions, and non-withdrawal rules.

Unless otherwise required by applicable law or expressly agreed by Deep Parts, promotional credits cannot be exchanged for cash or transferred to another Account.

18. Refunds

Where a refund is approved, Deep Parts may return the amount through:

  • the original payment method;
  • the Customer’s Deep Parts Account Balance; or
  • another method agreed with the Customer.

Refund processing times may vary depending on the payment method, banking institution, payment provider, official holidays, or technical circumstances.

Approved refunds may take up to 14 business days to process. Additional time may be required for the Customer’s bank or payment provider to reflect the amount.

Deep Parts may deduct valid delivery, collection, inspection, restocking, processing, or cancellation fees from the refund where permitted by law and disclosed to the Customer.

19. Order Modification and Customer Cancellation

Customers should review all Order details carefully before submission.

Requests to modify or cancel an Order are subject to Deep Parts’ approval and may not be accepted after processing or shipment has begun.

If an Order has not yet been shipped, the Customer may request modification or cancellation within 24 hours of submission. Acceptance of such a request is subject to the Order’s status, Product type, Supplier requirements, and any applicable charges.

If a Customer wishes to add Products after submitting an Order, Deep Parts may require the Customer to place a separate Order.

Cancellation after dispatch may be subject to delivery, return, inspection, restocking, processing, or other reasonable costs. Any applicable fees will be communicated to the Customer.

Custom-made, special-order, imported-on-request, electrical, electronic, opened, installed, used, or non-returnable Products may not be eligible for cancellation or return unless defective or otherwise required by applicable law.

20. Delivery and Collection

Delivery dates and times are estimates unless Deep Parts expressly confirms a guaranteed delivery date in writing.

Delivery may be affected by Product availability, Supplier processing, address accuracy, payment verification, transportation conditions, customs procedures, official holidays, or events beyond our reasonable control.

The delivery representative will contact the Customer using the mobile number registered with the Order or Account.

The Customer must ensure that:

  • the delivery information is accurate and complete;
  • an authorized person is available to receive the Order;
  • the delivery location is accessible and safe; and
  • any required permits or access approvals have been arranged.

If delivery cannot be completed due to incorrect information, lack of access, or the Customer’s unavailability, additional delivery or storage fees may apply.

Risk of loss or damage will pass to the Customer upon delivery to the Customer, its representative, or the agreed delivery location, unless otherwise required by law or agreed in writing.

21. Inspection Upon Delivery

The Customer should inspect the Order promptly upon delivery and verify:

  • the number of packages;
  • the Product quantities;
  • the Product codes and specifications;
  • the condition of the packaging; and
  • any visible damage or defects.

Visible damage, missing items, or incorrect Products should be reported to the delivery representative and Deep Parts as soon as reasonably possible.

Signing a delivery receipt without noting visible damage may affect the Customer’s ability to claim that the damage existed at the time of delivery, subject to applicable law.

22. Returns, Exchanges, and Complaints

If a Product is damaged, defective, incorrect, or materially different from the accepted Order, the Customer should contact Deep Parts Customer Service as soon as possible.

Complaints may be submitted through:

  • Email: info@deepparts.sa; or
  • the customer support function available through the Platform.

The Customer should provide:

  • the Order number;
  • the Product name or code;
  • a description of the issue;
  • photographs or videos showing the Product, packaging, and damage or defect; and
  • any other reasonably requested supporting information.

Unless the Product is defective or otherwise required by applicable law, a return or exchange may be accepted only if the Product:

  • has not been used, installed, altered, or damaged;
  • remains in its original condition;
  • is returned with its original packaging, labels, accessories, and documents; and
  • satisfies any additional return conditions communicated by Deep Parts.

Deep Parts may inspect the Product before approving a return, exchange, refund, or Account credit.

Products that do not satisfy the applicable return conditions may be rejected and returned to the Customer at the Customer’s expense.

23. Product Compatibility

The Customer is responsible for confirming Product compatibility, specifications, dimensions, applications, and suitability before placing an Order.

References to vehicle models, equipment types, manufacturer numbers, cross-reference numbers, or compatibility data are provided for guidance and may depend on information received from Suppliers or manufacturers.

Where compatibility is uncertain, the Customer should contact Deep Parts before purchasing and provide the relevant vehicle identification number, chassis number, equipment details, technical specifications, or other required information.

Deep Parts is not responsible for incorrect purchases resulting from incomplete or inaccurate information provided by the Customer, except where the error is directly attributable to information expressly confirmed by Deep Parts.

24. Warranty

Products may be covered by a manufacturer’s or Supplier’s warranty, where applicable.

The scope, duration, and conditions of a warranty may vary by Product, manufacturer, or Supplier. Warranty claims may require proof of purchase, installation records, photographs, inspection reports, or other supporting documents.

A warranty may not cover damage resulting from:

  • incorrect installation;
  • misuse, negligence, or unauthorized modification;
  • normal wear and tear;
  • accidents or external damage;
  • failure to follow manufacturer instructions; or
  • use of the Product for an unsuitable application.

Nothing in this section excludes any warranty or right that cannot legally be excluded.

25. Resale and Purchase Restrictions

Unless expressly permitted by Deep Parts, we may restrict or reject Orders that appear to involve unauthorized resale, fraudulent purchasing, market manipulation, or misuse of special pricing.

Deep Parts may also apply purchase limits based on Product availability, Supplier requirements, Account status, transaction history, or commercial considerations.

Any authorized resale remains the Customer’s responsibility. The Customer must comply with all applicable licensing, labeling, warranty, tax, consumer-protection, competition, and other legal requirements.

26. Suspension and Termination

Deep Parts may suspend, restrict, or terminate a Customer’s Account or access to the Platform if the Customer:

  • breaches these Terms;
  • fails to pay an amount when due;
  • provides false or misleading information;
  • engages in fraudulent, abusive, or unlawful activity;
  • creates a security or operational risk;
  • misuses pricing, promotional offers, refunds, or Account credits;
  • threatens or abuses any person connected with the Platform; or
  • is subject to legal or regulatory restrictions.

Where reasonably possible and permitted by law, Deep Parts will notify the Customer of the suspension or termination.

Suspension or termination does not affect any rights, obligations, or payments that arose before the effective date of suspension or termination.

27. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis.

Deep Parts does not guarantee that:

  • the Platform will always be uninterrupted or error-free;
  • every Product will always be available;
  • all third-party information will be complete or error-free; or
  • the Platform will meet every Customer’s individual business requirements.

To the maximum extent permitted by law, Deep Parts will not be liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, business opportunity, goodwill, anticipated savings, or data.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability arising from fraud, willful misconduct, or gross negligence where legally applicable.

28. Indemnification

To the extent permitted by applicable law, the Customer agrees to indemnify and hold Deep Parts, its affiliates, employees, representatives, and service providers harmless from claims, losses, damages, costs, and expenses arising from:

  • the Customer’s breach of these Terms;
  • misuse of the Platform;
  • unlawful use, installation, resale, or distribution of Products;
  • infringement of third-party rights; or
  • fraudulent or unauthorized activity carried out through the Customer’s Account.

This provision does not apply to the extent that a claim results directly from Deep Parts’ own unlawful conduct.

29. Force Majeure

Deep Parts will not be responsible for a delay or failure caused by events beyond its reasonable control, including:

  • natural disasters;
  • fire, flood, or extreme weather;
  • war, civil unrest, or terrorism;
  • epidemics or public-health emergencies;
  • government actions or regulatory restrictions;
  • strikes or labor disputes;
  • transportation or customs delays;
  • Supplier interruptions;
  • internet, telecommunications, or utility failures; or
  • cybersecurity incidents not caused by Deep Parts’ failure to take reasonable precautions.

Deep Parts may suspend, delay, modify, or cancel affected Orders where reasonably necessary.

30. Changes to These Terms

Deep Parts may amend these Terms from time to time to reflect changes in:

  • our services or business operations;
  • applicable laws and regulations;
  • payment or delivery arrangements;
  • security requirements; or
  • Platform functionality.

The latest version will be published on the Platform with an updated revision date.

Where required by applicable law, Deep Parts will provide reasonable notice of material changes.

Continued use of the Platform after the updated Terms become effective constitutes acceptance of those Terms. If you do not agree with an update, you must stop using the Platform.

31. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising from them are governed by the laws and regulations of the Kingdom of Saudi Arabia.

The parties should first attempt to resolve any dispute through good-faith negotiations.

If a dispute cannot be resolved amicably, it will be submitted to the competent courts of the Kingdom of Saudi Arabia, unless the parties have entered into a separate written agreement providing for another legally valid dispute-resolution method.

32. General Provisions

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Deep Parts’ failure to enforce any provision does not constitute a waiver of that provision or any related right.

The Customer may not assign or transfer its rights or obligations under these Terms without Deep Parts’ prior written consent.

These Terms, together with the Privacy Policy, Return Policy, and any additional terms presented for specific Products or services, constitute the agreement between Deep Parts and the Customer regarding use of the Platform.
